Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Chase Surplus Inc. d/b/a Kaizen Seller ("Kaizen Seller", "we", "us", or "our") that governs your access to and use of kaizenseller.com and related applications and services (the "Service"). By using the Service, you agree to these Terms.

Accounts & access

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your credentials and all activity under your account.
• You must be at least 18 years old to use the Service.

Marketplace connections

You may connect your eBay and other marketplace accounts to the Service using OAuth or other approved methods. By doing so, you authorize Kaizen Seller to act on your behalf to perform actions you request (e.g., manage inventory and offers, publish listings, read orders, update fulfillment) and to access the associated data as necessary to provide the Service.

Your content & responsibilities

• You retain ownership of the content you submit (e.g., product data, images, listings).
• You are solely responsible for the accuracy, legality, and compliance of listings and transactions.
• You must comply with applicable laws, marketplace policies, and third‑party terms.

Acceptable use

• No unlawful, infringing, deceptive, or abusive activity.
• No reverse engineering, scraping beyond documented APIs, or rate‑limit abuse.
• No unauthorized access to other users’ data.

Fees & payments

Some features may be offered as paid subscriptions. Fees, billing cycles, and refund terms (if any) will be presented at checkout or in your order form. You are responsible for marketplace fees, taxes, shipping costs, and other third‑party charges.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or use the Service in a way that risks harm to us, other users, or marketplaces. Upon termination, we may delete or restrict access to stored data subject to our Privacy Policy and legal retention obligations.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT UNINTERRUPTED OR ERROR‑FREE OPERATION NOR GUARANTEE MARKETPLACE APPROVALS OR OUTCOMES.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIZEN SELLER AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification

You will indemnify and hold Kaizen Seller harmless from claims arising from your use of the Service, your content, or your violation of these Terms or any law or third‑party rights.

Changes

We may update these Terms from time to time. We will post the updated Terms on this page and adjust the effective date above. Material changes may be communicated via email or in‑app notice. Continued use of the Service after the changes become effective constitutes acceptance.

Governing law

These Terms are governed by the laws of the United States and, where applicable, the laws of the state where our principal place of business is located, without regard to conflict‑of‑law rules.
