Terms of Service

These Terms of Service (the "Terms") are a legal agreement between you and Chase Surplus Inc. d/b/a Kaizen Seller ("Kaizen Seller", "we", "us", or "our") that governs your access to and use of kaizenseller.com and related applications and services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Accounts & access

• You must provide accurate account information and keep it current.
• You are responsible for safeguarding your credentials and all activity that occurs under your account. Notify us immediately at support@kaizenseller.com if you suspect unauthorized use.
• You must be at least 18 years old to use the Service.
• We may limit, suspend, or terminate accounts that violate these Terms or that remain inactive for an extended period.

Service description

Kaizen Seller is a multi-channel e-commerce management platform that provides:

• AI-powered listing creation: Automated titles, descriptions, pricing suggestions, category matching, and image processing powered by artificial intelligence (currently via OpenAI).
• Catalog management: Product database with SKU, brand, MPN, condition, pricing, inventory, images, and marketplace-specific fields. Import and export via CSV.
• Marketplace integration: Connect eBay (and other supported marketplaces) to publish listings, synchronize orders and inventory, and manage fulfillment.
• Order management: Multi-channel order synchronization, status tracking, shipping integration, and sales reporting.
• Projects & consignment: Revenue-sharing project management with configurable split percentages, payout tracking, and fee calculations.
• Automation: Scheduled email reports, inventory alerts, and other automated workflows.

Features may be added, modified, or retired at our discretion. We will provide reasonable notice for material changes that affect your use.

Marketplace connections

You may connect marketplace accounts (e.g., eBay) to the Service using OAuth or other approved authorization methods. By connecting a marketplace, you:

• Authorize Kaizen Seller to act on your behalf to perform actions you request, including managing inventory and offers, publishing and revising listings, reading orders, and updating fulfillment information.
• Acknowledge that Kaizen Seller will access and store marketplace data (listings, orders, account identifiers) as necessary to provide the Service.
• Remain solely responsible for compliance with each marketplace's terms, policies, and seller requirements.
• May disconnect your marketplace at any time through Settings. Upon disconnection, we will revoke and delete the associated tokens.

AI-generated content

• The Service uses third-party AI models (currently OpenAI) to generate product titles, descriptions, pricing suggestions, category recommendations, and other content based on data and images you provide.
• AI-generated content is provided as a starting point. You are solely responsible for reviewing, editing, and approving all content before it is published to any marketplace or used in any transaction.
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content. AI outputs may contain errors, inaccuracies, or content that does not comply with marketplace policies.
• Product data and images submitted for AI processing are transmitted securely to our AI provider and are not used for model training under our data-processing agreement.

Your content & responsibilities

• You retain ownership of the content you submit (e.g., product data, images, listings, project information).
• By submitting content, you grant us a limited, non-exclusive license to use, store, process, and display it solely for the purpose of providing and improving the Service.
• You are solely responsible for the accuracy, legality, and compliance of all listings, product data, pricing, and transactions conducted through the Service.
• You must comply with all applicable laws, marketplace policies, intellectual property rights, and third-party terms.
• You must not upload content that is unlawful, infringing, fraudulent, or harmful.

Acceptable use

You agree not to:

• Use the Service for any unlawful, fraudulent, deceptive, or abusive purpose.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Scrape, crawl, or access the Service through automated means beyond documented APIs, or abuse rate limits.
• Attempt to access other users' accounts or data without authorization.
• Interfere with or disrupt the Service, its servers, or connected networks.
• Use the Service to send spam, phishing messages, or other unsolicited communications.
• Resell or redistribute the Service or any AI-generated output as a standalone product without our written permission.

Free tier & paid plans

• Free tier: New accounts include a limited catalog (currently up to 100 products) at no charge. Feature availability and limits on the free tier may change at our discretion.
• Paid plans: Additional capacity and premium features may be offered as paid subscriptions. Fees, billing cycles, and any refund terms will be presented at checkout or in your order form.
• You are responsible for all marketplace fees, taxes, shipping costs, payment processing fees, and other third-party charges incurred through your use of connected marketplaces.
• We reserve the right to modify pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

Data & privacy

Our collection, use, and protection of your data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Intellectual property

The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Chase Surplus Inc. or its licensors. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

Termination

• You may stop using the Service and request account deletion at any time.
• We may suspend or terminate your access if you violate these Terms, use the Service in a way that risks harm to us, other users, or connected marketplaces, or if required by law.
• Upon termination, your right to use the Service ceases immediately. We may delete or restrict access to your stored data, subject to our Privacy Policy and any legal retention obligations.
• Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, NOR DO WE GUARANTEE ANY MARKETPLACE APPROVALS, LISTING OUTCOMES, SALES RESULTS, OR THE ACCURACY OF AI-GENERATED CONTENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIZEN SELLER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

Indemnification

You agree to indemnify, defend, and hold harmless Kaizen Seller and its officers, directors, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your content or listings; (c) your violation of these Terms, any applicable law, or any third-party rights; or (d) any dispute between you and a buyer, seller, or marketplace.

Third-party services

The Service integrates with third-party platforms and providers including eBay, OpenAI, Google Cloud / Firebase, and email delivery services. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

Changes to these Terms

We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date above. Material changes may also be communicated via email or in-app notice. Your continued use of the Service after the updated Terms become effective constitutes acceptance. If you do not agree with the changes, you must stop using the Service.

Governing law & disputes

These Terms are governed by the laws of the United States and, where applicable, the laws of the state where Chase Surplus Inc.'s principal place of business is located, without regard to conflict-of-law rules. Any dispute arising under these Terms will be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kaizen Seller regarding your use of the Service and supersede all prior agreements or understandings.
